Welcome to JM Square Web.
These Terms and Conditions explain the rules that apply when you access our website, enquire about our services, purchase services from us, or otherwise engage with JM Square Web.
By using our website or engaging our services, you acknowledge that you have read and understood these Terms and agree to be bound by them where applicable.
If you do not agree with these Terms, please do not use our website or services.
1. About JM Square Web
JM Square Web provides digital marketing and web-related services to businesses across the UK.
Our services may include, but are not limited to:
- Search Engine Optimisation (SEO)
- Pay-Per-Click (PPC) advertising
- Website development
- Social media marketing
- Email marketing
- E-commerce marketing
- Other digital marketing and consultancy services agreed with the client
The exact services provided to a client will depend on the proposal, quotation, statement of work or other written agreement between JM Square Web and the client.
2. Using Our Website
You may use this website for legitimate purposes only.
You must not use the website:
- For any unlawful purpose
- To attempt to gain unauthorised access to our systems
- To introduce malicious software or harmful code
- To interfere with website functionality
- To copy or reproduce website content without permission
- To impersonate another person or organisation
- To use automated systems to access or extract website content in a way that causes disruption
- In any way that could damage JM Square Web, its website, reputation or users
We reserve the right to restrict or suspend access where we reasonably believe the website is being misused.
3. Our Services
We aim to provide services professionally and in accordance with the scope agreed with each client.
Because digital marketing is influenced by factors outside our direct control, we do not guarantee a specific level of:
- Search engine rankings
- Website traffic
- Leads
- Sales
- Revenue
- Advertising performance
- Social media reach
- Conversion rates
Any targets, forecasts or performance estimates discussed during a sales or strategy process should not be interpreted as guaranteed results unless expressly agreed otherwise in writing.
4. Service Proposals and Quotes
Before work begins, JM Square Web may provide a proposal, quotation, package description, statement of work or similar document outlining the services to be provided.
Unless otherwise stated:
- Quotes are based on the information available to us at the time they are prepared.
- A quote may be subject to change where the scope of work changes.
- Third-party costs may be charged separately.
- Additional work outside the agreed scope may incur additional fees.
- Work will begin once the relevant proposal or agreement has been accepted and any required initial payment has been received.
A quotation does not automatically create an ongoing contract unless accepted by the client and confirmed by JM Square Web.
5. Client Responsibilities
Successful digital marketing and website projects require reasonable cooperation from the client.
You agree to provide information, materials, access and approvals reasonably required for us to perform the agreed services.
This may include:
- Website or CMS access
- Google or other platform access
- Advertising account access
- Analytics and tracking access
- Brand guidelines
- Images and other media
- Business information
- Product or service information
- Content and approvals
- Timely feedback and decisions
You are responsible for ensuring that information and materials supplied to JM Square Web are accurate and that you have the necessary rights or permissions to use them.
Delays caused by missing information, access, approvals or client decisions may affect project timelines.
6. Website Development
Where JM Square Web provides website development services, the agreed project scope will determine what is included.
Unless specifically stated in writing, the following may be treated as additional work:
- Major changes to the agreed design
- Additional pages
- New functionality
- Custom integrations
- Third-party software costs
- Additional content creation
- Significant revisions after approval
- Ongoing maintenance
- Hosting or domain charges
The client is responsible for reviewing and approving the website before launch.
Once a website has been approved and launched, further changes may be charged separately unless covered by an agreed maintenance arrangement.
7. Digital Marketing Services
Digital marketing services depend on a combination of our work, client cooperation, market conditions and third-party platforms.
Search engines, advertising platforms, social networks and other providers can change their algorithms, policies, pricing, functionality or systems without notice.
As a result, JM Square Web cannot guarantee that a particular marketing strategy will produce a specific business outcome.
Where third-party advertising platforms are used, advertising spend is normally separate from our management or service fees unless expressly stated otherwise.
8. SEO Services
SEO results generally require time and may vary depending on competition, website history, industry, search demand, technical factors and search engine changes.
We will use reasonable professional efforts to improve the website’s organic visibility in accordance with the agreed strategy.
However, we do not guarantee:
- A particular Google ranking
- A specific position for any keyword
- A specific amount of organic traffic
- A fixed number of leads or sales
- A specific timeframe for achieving ranking improvements
Search engine algorithms and ranking systems are controlled by third parties and are outside our control.
9. PPC and Advertising Services
Where we manage paid advertising campaigns, advertising budgets are normally separate from our service fees.
We may assist with campaign strategy, setup, optimisation, monitoring and reporting according to the agreed scope.
Advertising results can be affected by factors including:
- Competition
- Market demand
- Advertising platform changes
- Budget
- Landing page performance
- Offer quality
- Seasonality
- Audience behaviour
- Tracking limitations
We therefore do not guarantee a particular number of clicks, leads, conversions, sales or return on advertising spend unless expressly agreed in writing.
10. Content and Client Materials
Where clients provide content, images, videos, logos, trademarks or other materials, the client confirms that they have the appropriate rights and permissions to use those materials.
The client remains responsible for the legality, accuracy and ownership of materials supplied to JM Square Web.
Where JM Square Web creates content as part of an agreed service, ownership and permitted use of that content will depend on the applicable service agreement and payment terms.
We reserve the right to refuse or remove content that we reasonably believe is unlawful, misleading, defamatory, infringing or otherwise inappropriate.
11. Payments and Fees
Our fees, payment schedule and payment method will be communicated before or at the start of the relevant service.
Unless otherwise agreed:
- Invoices must be paid by the due date stated on the invoice.
- The client is responsible for providing accurate billing information.
- Third-party costs are not included unless specifically stated.
- Additional work outside the agreed scope may incur additional charges.
- We may suspend services where invoices remain unpaid.
Any applicable taxes, including VAT where applicable, will be charged in accordance with the relevant requirements.
12. Late or Non-Payment
If payment is not received by the agreed due date, we may contact the client to request payment.
Where an account remains unpaid, we may, where reasonably appropriate:
- Pause ongoing work
- Suspend access to certain services
- Delay delivery of outstanding work
- Withhold further work until payment is received
- Recover applicable costs associated with overdue payments
Any rights available to us under applicable law remain unaffected.
13. Cancellation and Termination
The cancellation terms for an ongoing service will depend on the agreement entered into with the client.
Where no separate cancellation period has been agreed, either party may request termination by providing reasonable written notice.
If a project or service is cancelled after work has commenced, the client remains responsible for payment for work already completed and any approved non-refundable third-party costs incurred on their behalf.
Where a client materially breaches an agreement, JM Square Web may suspend or terminate the relevant services, subject to applicable law and the terms of the specific agreement.
14. Intellectual Property
Unless otherwise agreed in writing, JM Square Web retains ownership of its pre-existing materials, systems, processes, templates, strategies, methodologies, tools and know-how.
This may include:
- Internal processes
- Marketing frameworks
- Templates
- Strategy documents
- Proprietary systems
- Reusable code
- Technical methods
- Internal resources
Where a client has paid in full for deliverables specifically created for them, the rights to those deliverables will be governed by the applicable project or service agreement.
Third-party materials, software, plugins, fonts, stock images and other licensed resources remain subject to their respective licence terms.
15. Website Content and Information
We make reasonable efforts to keep information on our website accurate and current.
However, website content is provided for general information and may not always reflect the latest developments, service availability or pricing.
We reserve the right to update, change or remove website content without prior notice.
Nothing on the website should be interpreted as professional legal, financial or other regulated advice unless explicitly stated.
16. Third-Party Platforms and Services
Our services may rely on third-party platforms, including search engines, advertising networks, social media platforms, hosting providers, analytics systems and other technology providers.
JM Square Web does not control these third-party services.
We are not responsible for changes, outages, suspensions, policy changes, technical failures or decisions made by third-party providers.
Where a third-party service is required for your project, you may also be subject to that provider’s own terms and policies.
17. Confidentiality
We will treat confidential business information provided to us in connection with our services responsibly.
Both parties should take reasonable steps to protect confidential information that is not publicly available.
Confidential information does not include information that:
- Is already publicly available
- Was lawfully known before disclosure
- Becomes publicly available without a breach of confidentiality
- Is required to be disclosed by law or a competent authority
Where appropriate, additional confidentiality obligations may be agreed separately between JM Square Web and the client.
18. Limitation of Liability
To the extent permitted by applicable law, JM Square Web will not be responsible for indirect, incidental, special or consequential losses arising from the use of our website or services.
This may include loss of:
- Profits
- Revenue
- Business opportunities
- Anticipated savings
- Data
- Reputation
- Goodwill
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
In particular, nothing in these Terms is intended to exclude or restrict liability for matters that cannot legally be excluded or restricted under applicable UK law.
Where services are provided under a separate written agreement, the liability provisions of that agreement will apply where relevant.
19. Events Outside Our Control
JM Square Web will not be responsible for delays or failures caused by circumstances outside our reasonable control.
These may include:
- Internet or infrastructure failures
- Third-party platform outages
- Cyber incidents
- Changes to search engine algorithms
- Advertising platform restrictions
- Government action
- Natural disasters
- Significant technical failures
- Industrial disputes
- Other events that could not reasonably have been prevented or anticipated
Where such an event occurs, we will take reasonable steps to minimise disruption where possible.

By using our website or providing personal information to us, you acknowledge that your information may be processed in accordance with that Privacy Policy and applicable data protection requirements.
21. Website Availability
We aim to keep our website available and functioning properly, but we do not guarantee uninterrupted access.
The website may occasionally be unavailable because of:
- Maintenance

- Circumstances beyond our control
We may modify, suspend or discontinue parts of the website where reasonably necessary.
22. Links to Other Websites
Our website may contain links to third-party websites.
These links may be provided for convenience or additional information.
JM Square Web does not control or endorse every third-party website and is not responsible for its content, availability, security or policies.
